TERMS OF USE - In order to use the PodKeep.com web site, you must agree to the following terms and conditions (“Terms of Use”).

- User must be 18 years or older to use this site.

- User is responsible for securing their password.

- User is responsible for their conduct and all material posted under their screen name.

- All content submissions and postings, (including, but not limited to, data, text, information, graphics,
photos, profiles, audio and video clips, links) are the responsibility of the user.

- User may not create spam or transmit viruses from the PodKeep.com site.

- Podkeep.com site may not be used to harass, threaten or mislead other users.

- User is prohibited from using PodKeep.com for any illegal, commercial or unauthorized purpose. All users must comply with international, national and local laws regarding online conduct and content.

- PodKeep.com exclusively reserves the right to terminate your user account for any reason we feel violates acceptable content, conduct or behavior.

- Podkeep exclusively retains the right to remove any content that we choose. Including but not limited to material that is unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates copyright laws.

- PodKeep.com is not responsible for the content posted on its web site and user may be exposed to such content. The risk is assumed by the user of the Podkeep.com service.

- PodKeep does not guarantee any confidentiality with respect to any submissions. Material marked as Private still may be accessed by the public.

- You agree that you own or have the necessary licenses, rights, consents, and permissions to use any material submitted to PodKeep.

- By submitting material, you hereby grant PodKeep and it's parent company, a worldwide, non-exclusive, royalty-free, sublicense-able and transferable license to use, reproduce, distribute, prepare derivative works of and display.

- You understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against PodKeep.

Violation of any of these agreements will result in the termination of your Podkeep.com account.

PodKeep.com reserves the right to modify or terminate the PodKeep.com service for any reason, without notice at any time.

PodKeep.com reserves the right to alter these Terms of Use at any time.

We reserve the right to refuse service to anyone for any reason at any time.

Podkeep.com reserves the right to alter and/or label media content that you upload to any form to promote and market products/services of its sponsors. This includes branding/labeling and adding sponsor ads before or after media clips.

COPYRIGHT

PodKeep.com claims no intellectual property rights over the material you provide to the PodKeep.com site. All content and materials uploaded and stored, including any audio or video files, remain yours. You can remove any of your uploads at any time by using the delete/modify feature in your account. Uploaded material may be stamped or labeled with a PodKeep marking.

Podkeep.com will obey all relevant copyright laws. All claims of copyright infringement will be reviewed and any content deemed to have been posted or distributed in violation of any such laws will be removed.

INDEMNITY

You agree to defend, indemnify and hold harmless PODKeep.com, it's parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the PodKeep Website.

You agree that your use of Podkeep shall be at your own risk. In no event shall Podkeep, its parent company, Its officiers, Directors, Employees, or Agents, be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages.
